### 1. Name Clearance & RJSC Filings
The first milestone in company registration is acquiring Name Clearance from the Registrar of Joint Stock Companies and Firms (RJSC). Once obtained, Memorandum and Articles of Association (MoA & AoA) must be drafted to clearly define the company's authorized capital, shareholder ratios, and principal business objects.
### 2. Foreign Shareholding & Paid-Up Capital
Foreign investors can own up to 100% equity in most sectors without prior government approval. However, encashing foreign capital into a designated inward remittance bank account in Bangladesh is mandatory before final RJSC incorporation.
### 3. Post-Incorporation Compliance
Once the Certificate of Incorporation is issued, the company must secure:
- E-TIN (Tax Identification Number)
- BIN (Business Identification Number for VAT)
- Trade License from the relevant City Corporation / Municipality
- BIDA Registration (for foreign investments and expatriate work permits)
